Affiliate General Terms and Conditions
This Affiliate General Terms and Conditions ("Affiliate Terms") serves as a supplement to the
General Terms and Conditions ("Terms") of MAILEDUP. By participating in the Affiliate Program
("Program"), users agree to these Affiliate Terms in addition to the Terms.
1. Affiliate Program Overview
Purpose of the Program
The Affiliate Program allows registered users of MAILEDUP to earn a commission for referring
new subscribers through their unique affiliate links, exclusively by the new subscribers, by
purchasing a subscription package of MAILEDUP B2B email marketing.
Referral Fee Structure
Participants in the Affiliate Program ("Affiliates") will receive 20% of the subscription fee
paid by referred subscribers ("Referral Fee"), provided all conditions outlined in these
Affiliate Terms are met.
Single Referral Fee Policy
Only one Affiliate may receive a Referral Fee for a specific subscriber.
2. Eligibility and Participation
Registration Requirements
To participate, users must have an active account on MAILEDUP and agree to these Affiliate
Terms.
Affiliate Link Assignment
Each Affiliate will be assigned a unique affiliate link to share with potential subscribers.
Valid Referrals
Referral Fees are only paid for subscriptions resulting from registrations made directly
through the affiliate link.
Ethical Marketing
Affiliates’ marketing efforts must align with MAILEDUP’s reputation. Affiliates may only
engage in positive promotions of the services and must avoid any activities that could harm
MAILEDUP’s good name.
3. Referral Fee Conditions
Calculation Basis
Referral Fees are calculated based on the subscription fees paid by referred subscribers
during their active, paid subscription period.
Non-Eligible Referral Fees
No Referral Fee will be paid for:
- Referred subscribers who only use the free trial period without converting to a paid
subscription.
- Periods when referred subscribers cancel their subscriptions or fail to make payment.
- Any invalid or fraudulent registrations detected by MAILEDUP.
Termination of Referral Fee Entitlement
If a referred subscriber ceases to be an active user, the Referral Fee entitlement ends
immediately. MAILEDUP will notify the Affiliate and reject invoices submitted for inactive
subscribers.
Active Subscription Requirement
Referral Fees accrue only while the referred subscriber remains an active, paying user.
Confirmation of Affiliate Eligibility
MAILEDUP will notify the Affiliate in writing via email when a referred subscriber begins
paying their monthly subscription fee. Following this notification, the Affiliate will be
eligible to issue an invoice for the Referral Fee, in accordance with the requirements
outlined in these Affiliate Terms.
4. Payment Terms
Payment Schedule
Referral Fees will be paid monthly, with a 30-day processing period after the 10th day of the
following month, based on active subscriptions from the previous month.
Invoice Requirements
Affiliates must send their invoices to bills@mailedup.com to receive payment. Invoices
must include:
- The total Referral Fee amount due.
- The Affiliate’s bank account number for payment.
- Any applicable tax details or requirement.
Payment Conditions
Payments are subject to the receipt of a valid invoice and compliance with these Affiliate
Terms.
5. Minimum Payment Threshold
Threshold Amount
Affiliates must accumulate at least €100 in Referral Fees before requesting a payout.
Payments will not be issued for balances below this threshold.
6. Affiliate Obligations
Prohibited Activities
Affiliates must not engage in fraudulent, unethical, or illegal activities to promote their
affiliate link. Prohibited practices include:
- Spamming.
- Misrepresenting the features or pricing of MAILEDUP.
- Using deceptive or misleading marketing tactics.
- Violating any laws or regulations.
Brand Integrity
Affiliates must not create websites, profiles, or advertisements that resemble MAILEDUP’s
branding or mislead customers into believing they are MAILEDUP.
Tax Compliance
Affiliates are responsible for complying with all applicable tax regulations and reporting
requirements related to Referral Fees received.
7. Prohibition of Illegal, Violent, Pornographic, and Discriminatory Content
Content Restrictions
Affiliates are strictly prohibited from promoting MAILEDUP on platforms or through materials
that include illegal, violent, pornographic, or discriminatory content. Any such activity
will result in immediate termination from the Affiliate Program.
Prohibition of Brand Imitation or Duplication
Affiliates are not allowed to create websites, advertisements, or profiles that imitate or
duplicate the MAILEDUP brand, logo, or website design. Any attempt to mislead users into
believing an Affiliate is acting on behalf of MAILEDUP will result in suspension or
termination of their participation in the Affiliate Program.
9. Prohibited Marketing Practices
Marketing Prohibitions
The following activities are strictly prohibited:
- Spamming or sending unsolicited commercial emails.
- Using paid advertisements targeting MAILEDUP’s name, such as bidding on keywords like
"MAILEDUP" in search engines or similar platforms.
- Generating fraudulent traffic, including but not limited to the use of bots, cookie
stuffing, or deceptive links.
- Referring one’s own business or entity solely for the purpose of earning commissions.
Enforcement
Affiliates found engaging in these activities may be removed from the Affiliate Program and
forfeit any pending Referral Fees.
10. Termination of Affiliate Participation
Termination Rights
MAILEDUP reserves the right to suspend or terminate an Affiliate’s participation in the
Program if:
- The Affiliate violates these Affiliate Terms or the Terms.
- Fraudulent or unethical behavior is detected.
- The Affiliate’s account becomes inactive.
- The Affiliate’s marketing activities harm MAILEDUP’s reputation.
Post-Termination Conditions
Upon termination:
- Unpaid Referral Fees will only be paid if accrued under compliant and legitimate
circumstances.
- The Affiliate’s rights to use affiliate links and earn Referral Fees cease immediately.
Voluntary Termination
Affiliates may terminate their participation at any time with written notice to MAILEDUP.
11. Program Changes and Amendments
Modification Rights
MAILEDUP reserves the right to modify or terminate the Affiliate Program at any time, with
reasonable notice to Affiliates.
Acceptance of Changes
Any changes to these Affiliate Terms will be communicated to Affiliates, and continued
participation in the Program constitutes acceptance of the revised Terms.
12. Limitation of Liability
Liability Disclaimer
MAILEDUP will not be liable for any indirect, incidental, or consequential damages arising
from participation in the Affiliate Program.
Total Liability Cap
The total liability of MAILEDUP for any claim related to the Affiliate Program will not
exceed the amount of Referral Fees earned by the Affiliate.
Improper Link Use
MAILEDUP is not responsible for any issues arising from the improper use of affiliate links
or for any indirect, incidental, or consequential damages, including but not limited to lost
revenue, goodwill, or anticipated profits.
13. Governing Law and Dispute Resolution
Governing Law
These Affiliate Terms are governed by the laws of Hungary.
Dispute Jurisdiction
Any disputes arising from the Affiliate Program will be subject to the exclusive jurisdiction
of Hungarian courts.
14. Confidentiality
Confidential Information
Affiliates must not disclose any confidential information regarding the Affiliate Program,
including but not limited to commission rates, payment details, and subscriber data.
By participating in the Affiliate Program, users acknowledge that they have read, understood, and
agreed to these Affiliate Terms.
